RankIntel Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Icepick Development, LLC, a Texas limited liability company doing business as RankIntel ("RankIntel," "we," "us," or "our"), governing your access to and use of the RankIntel platform at rankintel.ai and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials and for all activity under your account. The Service is invite-only during the beta period.

2. The Service

RankIntel provides SEO audit, rank tracking, local search, content, reporting, and related tools for agencies that manage local SEO for their clients.

3. Beta

The Service is currently provided during a beta period. It may be incomplete, may change, or may be discontinued, and it may contain errors. We provide the beta on an "as is" basis and may modify features, usage limits, and pricing. We welcome your feedback, and you grant us the right to use feedback you provide without restriction or compensation.

4. Customer Data and your responsibilities

"Customer Data" means data you submit to or connect with the Service, including your clients' business information and data from accounts you authorize, such as Google. You represent and warrant that:

  • You have all rights, consents, and authority necessary to provide Customer Data and to authorize us to access connected accounts on behalf of you and your clients; and
  • Your use of the Service complies with applicable laws and with the terms of any connected third-party service, including Google.

You are responsible for your clients' data and for your agreements with your clients. As between you and us, you retain ownership of Customer Data, and you grant us a limited license to host and process it solely to provide and improve the Service.

5. Acceptable use

You agree not to:

  • Use the Service unlawfully or to infringe the rights of others;
  • Access accounts or data you are not authorized to access;
  • Reverse engineer, resell, or place an unreasonable load on the Service;
  • Upload malicious code or attempt to breach security; or
  • Use the Service to send spam or to violate any third-party terms.

6. Third-party services

The Service integrates with third parties such as Google, Stripe, and data providers. Your use of those services is governed by their own terms, and we are not responsible for them.

7. Fees, credits, and billing

The Service uses per-client subscription pricing. Each subscription includes the features, monthly usage allowances, and AI and third-party processing capacity described on the pricing, checkout, and billing pages. Some actions may have separate usage charges, overage charges, prepaid credits, or prepaid capacity packs. We show any additional charge or required purchase before you authorize it.

When a monthly allowance or capacity limit is reached, the affected usage-based feature may pause or require an additional purchase until the allowance renews. Other features, existing reports, and stored data remain available subject to these Terms. Eligible AI tasks may use different models as usage rises to preserve included capacity, and protected capacity may be reserved for scheduled monitoring.

Fees are billed through Stripe and are non-refundable except as required by law or as expressly stated. You authorize us to charge your payment method for subscriptions and purchases you approve, including automatic reload if you enable it. We may change pricing or usage allowances with notice, and changes apply to future billing periods or purchases.

8. Intellectual property

We and our licensors own the Service and all related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You own your Customer Data and the reports and content generated for you through the Service, subject to your payment of fees and to these Terms.

9. Confidentiality

Each party will protect the other party's non-public information and use it only as necessary to perform under these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ANY PARTICULAR SEO RESULTS, RANKINGS, TRAFFIC, OR OTHER OUTCOMES.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will indemnify and hold harmless Icepick Development, LLC and RankIntel from any claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms, including any claim that you lacked the authority to provide data or to connect accounts.

13. Term and termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or to comply with law. Upon termination, your right to use the Service ends, and we may delete Customer Data after a reasonable period.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Tarrant County, Texas have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you consent to venue in those courts.

15. Changes to these Terms

We may update these Terms from time to time. For material changes we will provide notice, and your continued use of the Service after changes take effect means you accept the updated Terms.
